9.3 Liability Limitations

IMPORTANT LIABILITY LIMITATIONS:

• To the extent permitted by applicable law, Miraya Alhayl disclaims warranties other than those expressly stated.

10. Term and Termination

10.1 Term

The business relationship begins when you first engage with Miraya Alhayl and continues for the applicable period agreed between the parties, unless terminated earlier in accordance with these Terms and Conditions.

10.2 Termination Rights

Either party may terminate the business relationship:

• For convenience by providing 60 days’ written notice.
• Immediately in the event of a material breach that is not cured within 30 days of receiving written notice.
• Immediately in the event of insolvency, cessation of business activities, or loss of any required regulatory license or authorization.

10.3 Early Termination

If you terminate the business relationship for convenience before the agreed term expires, any outstanding obligations, confirmed orders, or non-cancellable costs incurred before termination will remain payable.

10.4 After Termination

• All unpaid amounts become due within 30 days of termination.
• Confirmed orders that are already being processed may be completed, subject to payment of the applicable amounts.
• Any remaining inventory belonging to you must be collected or otherwise arranged for within 60 days of termination.
• Confidentiality obligations will continue after termination in accordance with Section 8.

11. Dispute Resolution

11.1 Resolution Process

The parties will make reasonable efforts to resolve any dispute through the following process:

• Good-faith negotiations following written notice of the dispute.
• Escalation to authorized representatives of both parties if the dispute cannot be resolved through initial negotiations.
• Where appropriate, the parties may agree in writing to mediation before pursuing formal legal proceedings.
• If the dispute cannot be resolved amicably, either party may pursue the remedies available under the applicable laws and regulations.

11.2 Important Dispute Terms

• Governing Law: These Terms and Conditions shall be governed by and interpreted in accordance with the applicable laws of the Sultanate of Oman.
• Jurisdiction: Any dispute that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts in the Sultanate of Oman.
• Legal Costs: Each party shall be responsible for its own legal costs and expenses unless otherwise determined by the competent court or required by applicable law.
• Emergency Relief: Either party may seek urgent legal or judicial relief where necessary to protect its rights or interests.

12. Refund Policy

12.1 Limited Refund Circumstances

Miraya Alhayl maintains clear refund standards. Refunds are considered only in the circumstances described in this policy and in accordance with applicable laws and regulations.

(a) Product Defect: If you receive a product that materially differs from the approved product specifications or description due to an error attributable to Miraya Alhayl, you may be eligible for a refund, replacement, or other appropriate remedy, subject to review.

(b) Non-Delivery: If you do not receive a product shipped by Miraya Alhayl within the agreed delivery period, and you provide reasonable evidence of non-delivery, the matter will be reviewed and an appropriate resolution may be provided in accordance with the applicable shipping and refund terms.

(c) Cancellation Before Processing: Refund requests for standard products may be considered if submitted in writing before the order has been processed, shipped, or otherwise committed for fulfillment.

(d) Orders Already Processed: Once an order has been processed or prepared for shipment, cancellation may be subject to applicable costs already incurred by Miraya Alhayl. Any approved refund will be calculated after deducting applicable costs, payment processing fees, shipping costs, or other non-recoverable expenses.

(e) Special or Non-Standard Orders: Products specially ordered, imported, reserved, or otherwise obtained specifically at the customer’s request may be non-refundable once the order has been confirmed or committed, unless the product is defective, materially different from the agreed specifications, or otherwise subject to a mandatory refund under applicable law.

12.2 Non-Refundable Items

The following items or circumstances are generally non-refundable, subject to applicable laws and the rights granted to customers under those laws:

• Customized or Specially Requested Products: Products specially requested, customized, imported, or sourced according to customer requirements may be non-refundable once the order has been confirmed or processed, except where the product is defective or materially different from the agreed specifications.
• Services Already Provided: Services that have been fully or partially provided may be non-refundable to the extent permitted by applicable law.
• Processed or Shipped Orders: Once an order has been processed or shipped, refunds may be subject to applicable shipping, handling, payment processing, or other costs already incurred by Miraya Alhayl.

Any refund will be processed using the original payment method where reasonably possible. Processing times may vary depending on the payment provider or financial institution.

12.4 Refund Request Process

To request a refund under this policy, you must:

(b) Verification Process: Miraya Alhayl will carefully review each refund request, and additional information or supporting documentation may be required to complete the review.

(c) Response Timeline: Miraya Alhayl will respond to the refund request within five (5) business days with a decision or an update regarding the review.

(d) Processing Time: Approved refunds will generally be processed within thirty (30) days using the original payment method, where reasonably possible.

(e) Claims and Refunds: Acceptance of a refund does not waive any rights or claims that cannot legally be waived under applicable laws. Any settlement of additional claims must be expressly agreed upon in writing.

12.5 Refund Approval Standards

Refunds will generally be considered where there is sufficient evidence of a product defect, material discrepancy from the agreed product specifications, non-delivery, or another circumstance covered by this Refund Policy or applicable law. Each request will be reviewed individually based on the relevant circumstances and supporting documentation.

12.6 Product Non-Conformance Resolution

If a delivered product materially differs from the agreed product specifications or description due to an issue attributable to Miraya Alhayl, the customer may be entitled to an appropriate remedy, which may include replacement of the affected product, a partial or full refund, or another commercially reasonable resolution, subject to the nature of the issue and applicable laws.

13. General Provisions

13.1 Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the applicable laws of the Sultanate of Oman. Any dispute that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts in the Sultanate of Oman.

13.2 Force Majeure

Neither party shall be liable for delays or failure to perform its obligations where such delay or failure results from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, transportation disruptions, or other unforeseen events. If such circumstances continue for an extended period and materially prevent performance, either party may seek an appropriate resolution, including termination where permitted by applicable law.

13.3 Business Transfer

If either party intends to sell, assign, transfer, or otherwise dispose of its business or any rights or obligations related to these Terms, it should provide reasonable written notice to the other party where required by the applicable agreement or law. Any transfer shall remain subject to applicable legal and contractual requirements.

13.4 Compliance

Both parties agree to comply with all applicable laws and regulations, including those relating to commercial activities, consumer protection, product requirements, importation, distribution, anti-corruption, and other applicable regulatory requirements.

13.5 Electronic Communications

You consent to receive communications from Miraya Alhayl electronically, including by email or other electronic means. Electronic records and signatures may be legally binding to the extent permitted by applicable law.

13.6 Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by applicable law.

13.7 Entire Agreement

These Terms and Conditions, together with any applicable written agreements, invoices, purchase orders, or other documents expressly incorporated into them, constitute the agreement between the parties regarding the relevant products or services.

13.8 Survival

Provisions relating to payment obligations, refunds, intellectual property, confidentiality, indemnification, limitation of liability, dispute resolution, and any other obligations that by their nature should continue after termination shall survive the termination of these Terms and Conditions.

Miraya Alhayl shall not be liable for indirect, incidental, consequential, or punitive damages except where such limitation is prohibited by applicable law.

Customer Acknowledgment

By purchasing products, placing an order, making a payment, or accepting delivery from Miraya Alhayl, the customer acknowledges that they have read, understood, and agreed to these Terms and Conditions and the applicable policies, subject to the rights and protections provided under the laws of the Sultanate of Oman.
