1. Payment Terms and Obligations

Due Amount: The total amount due for products will be clearly stated in the applicable invoice, purchase order, or other relevant sales document issued by Miraya Alhayl.

2. Payment Terms and Conditions

All transactions are subject to the following conditions: (a) Payment Method: Payments may be made through the payment methods approved and made available by Miraya Alhayl, including bank transfer, payment cards, or other approved payment methods. (b) Payment and Transfer Fees: The Customer may be responsible for any additional fees charged by banks, payment providers, or financial institutions depending on the payment method used. (c) Order Confirmation: An order will only be considered confirmed once the required payment has been received or the payment has otherwise been verified by Miraya Alhayl. (d) Shipment of Products: Orders will be prepared and shipped after payment has been confirmed, unless alternative payment terms have been agreed in writing. (e) Outstanding Payments: If any amount remains unpaid, Miraya Alhayl may suspend or cancel pending orders associated with the Customer until the outstanding amount has been settled. (f) Refunds: Refunds are subject to Miraya Alhayl‘s applicable return and refund policy and may depend on the nature and condition of the product and the status of the order. (g) Order Changes: Any changes requested after an order has been confirmed may be subject to product availability, order status, and any applicable terms communicated to the Customer.

3. Automatic Payment Authorization

Where recurring orders or services involving automatic payments are available, the Customer may be required to authorize Miraya Alhayl to charge the Customer’s designated payment method according to the terms and payment intervals specified at the time of purchase or subscription. The Customer may request cancellation of the authorization in accordance with the applicable procedures and terms of Miraya Alhayl.

4. Late Payment Consequences

If the Customer fails to pay any amount when due, Miraya Alhayl may suspend or delay the processing of pending orders or shipments associated with the Customer until the outstanding amounts have been settled. The Customer may be responsible for reasonable and direct costs resulting from the failure to pay outstanding amounts, to the extent permitted by applicable law.

5. Remedies for Payment Breach

In the event of a failure to pay amounts due in accordance with the applicable payment terms, Miraya Alhayl may, subject to applicable laws and regulations:

• Suspend or stop processing pending orders and shipments.
• Require settlement of outstanding amounts before processing future orders or shipments.
• Take reasonable steps to collect outstanding amounts.
• Take appropriate legal action where necessary.

General Provisions

Indemnification To the extent permitted by applicable law, the Customer agrees to indemnify and hold harmless Miraya Alhayl, its officers, agents, and employees from claims or liabilities arising from the Customer’s misuse of products or breach of these policies. Limitation of Liability

To the extent permitted by applicable law, Miraya Alhayl‘s liability in connection with a product or order shall be limited to the amount paid by the Customer for the product or order giving rise to the claim. The Company shall not be liable for indirect or consequential damages except where otherwise required by applicable law.

Force Majeure Neither party shall be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including supply chain disruptions, natural disasters, emergencies, or government actions.

Dispute Resolution

These policies shall be interpreted and applied in accordance with the applicable laws and regulations of the Sultanate of Oman. The parties will seek to resolve any dispute amicably through direct communication and negotiation. If an amicable resolution cannot be reached, the dispute may be referred to the competent courts and authorities in the Sultanate of Oman.

Confidentiality

Both parties shall maintain the confidentiality of private and commercial information exchanged in connection with their business relationship and shall not disclose such information to third parties except with the other party’s consent or where disclosure is required by law.

Severability

If any provision of these policies is determined to be invalid or unenforceable, the remaining provisions shall continue to remain valid and enforceable to the extent permitted by applicable law.

Amendment and Modification

Miraya Alhayl reserves the right to amend or update these policies when necessary. Updates may be published on the website or communicated to customers through appropriate means.

Integration with Other Agreements

These policies form part of the terms governing purchases and transactions with Miraya Alhayl. Where specific terms are stated in an invoice, purchase order, or written agreement, those terms shall apply to the relevant transaction to the extent permitted by applicable law.

Acceptance and Binding Effect

By interacting with trick mirrors, purchasing products, configuring models, or receiving orders, the customer acknowledges the ability to read and understand the relevant obligations and terms, and agrees to be bound by them.

Customer Acknowledgment

By purchasing products from Miraya Alhayl, making payments, or accepting deliveries, the Customer acknowledges that they have read, understood, and agreed to comply with these policies and the applicable terms of the transaction. Policy Updates Miraya Alhayl reserves the right to update these policies from time to time to reflect changes in its business practices and applicable requirements. Material changes may be communicated through the website or other appropriate means.
